1. Acceptance of Terms

By accessing or using Compliora, you agree to be bound by these Terms of Service. If you do not agree, do not use the service. Compliora is operated by Penguin Alley.

2. Description of Service

Compliora provides AI-powered compliance documentation tools for organizations that use artificial intelligence in professional decision-making. The service includes decision record creation, automated compliance analysis, and audit-ready export functionality.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. One person or entity per account — sharing credentials is not permitted.

4. Acceptable Use

You agree not to:

• Use the service for any illegal purpose.
• Attempt to reverse-engineer or exploit the service.
• Upload malicious files or content.
• Interfere with the service's operation or other users' access.
• Exceed your subscription tier's usage limits through automated means.

5. Subscriptions and Billing

Compliora offers free and paid subscription tiers. Paid subscriptions are billed monthly through Stripe. You can upgrade, downgrade, or cancel at any time through the billing portal.

Refunds are handled on a case-by-case basis. Contact support for refund requests within 14 days of payment.

6. Your Data

You retain ownership of all decision records and content you create in Compliora. We do not claim intellectual property rights over your content. You can export your data at any time.

By using the service, you grant us a limited license to process your data as necessary to provide the service, including sending decision record content to the Claude API for compliance analysis.

7. AI Analysis Disclaimer

Compliora's AI-powered compliance analysis is provided for informational purposes only. It does not constitute legal advice. Compliance scores and recommendations should be reviewed by qualified compliance professionals. We do not guarantee that using Compliora ensures regulatory compliance.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for downtime caused by third-party services (Supabase, Stripe, Anthropic, Vercel).

9. Limitation of Liability

To the maximum extent permitted by law, Penguin Alley shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the service.

10. Termination

We may suspend or terminate your account if you violate these terms. You may delete your account at any time by contacting support. Upon termination, your data will be deleted within 30 days.

11. Changes to Terms

We may modify these terms at any time. We will notify registered users of material changes via email at least 14 days before they take effect. Continued use after changes constitutes acceptance.

12. Governing Law

These terms are governed by the laws of Mexico. Any disputes shall be resolved in the courts of Monterrey, Nuevo León, Mexico.
